Unified Transaction Procedure

The following procedure is a simplified, unified model applicable to all IMEXTRA suppliers.
Specific details may vary depending on the product, origin and supplier, and are confirmed in the official SCO and contract.

Step 1 – Buyer Issues ICPO

The Buyer issues an Irrevocable Corporate Purchase Order (ICPO) on company letterhead, including:

  • Full company details and contact information
  • Product, quantity and specifications
  • Destination port and delivery terms
  • Preferred Incoterms
  • Banking details (for reference)

Step 2 – Seller Issues SCO / Draft Contract

Based on the ICPO, the Seller issues a Soft Corporate Offer (SCO) and/or Draft Contract.
The Buyer reviews the terms and confirms acceptance.

Step 3 – Contract Signing

The Buyer signs and returns the Sales and Purchase Agreement (SPA) / contract.
The Seller countersigns and returns the fully executed contract to the Buyer.

Step 4 – Preliminary Documentation

The Seller provides standard preliminary documentation, such as:

  • Certificate of Origin
  • Product Quality Certificate / Product Passport
  • Statement of Product Availability
  • Notice of Readiness (NOR), where applicable

Sensitive internal documents and full sets of shipping documents are exchanged directly between Buyer and Seller
and are not published online.

Step 5 – Logistics & Inspection

Logistics are arranged according to the agreed Incoterms. Independent inspection (SGS / CIQ or equivalent)
is carried out at the loading port. The Buyer may send an inspection team if required and agreed.

Step 6 – Delivery Under Agreed Incoterms

Delivery is executed under the agreed Incoterms (CIF, FOB, TTO, TTT, STS, DAP, etc.) to the nominated port or facility.

Step 7 – Final Payment & Title Transfer

Upon successful inspection and presentation of the agreed shipping documents, the Buyer releases payment
(e.g. via MT103 or other agreed instrument). The Seller transfers title and issues the full set of original documents.

To request an SCO or initiate a transaction, the Buyer is expected to provide:

  • ICPO (Irrevocable Corporate Purchase Order)
